1. Acceptance of Terms

By accessing or using the BlackCase App ("the App"), you agree to be bound by these Terms of Service. If you do not agree, you may not use the App. These Terms are a legally binding agreement between you and Blackcase Marketing LLC ("BlackCase," "we," "us").

2. What BlackCase Is (and Is Not)

BlackCase is a marketing and meeting-scheduling application. Its purpose is simple: it runs an educational financial simulation so you can see, in broad strokes, where your plan may fall short, and it helps you schedule an introductory meeting with an independent licensed financial professional.

BlackCase is NOT a financial CRM and NOT a system of record. It is not built to be, and must not be relied on as, the authoritative store of anyone's financial records. Any client-organization features available to professionals exist solely to facilitate scheduling and communication around meetings arranged through the App.

BlackCase is not an insurance company, not a broker-dealer, and not a registered investment adviser. BlackCase does not provide investment advice, insurance advice, tax advice, or legal advice. Nothing in the App is a recommendation, solicitation, or offer to buy or sell any financial product or security.

Financial professionals on the App are independent. They are not employees, agents, or representatives of Blackcase Marketing LLC, and everything they advise or do is solely their own responsibility.

3. The Simulation Is Educational, Not Advice

The App's simulation and any gap figures, projections, or illustrations it shows are educational estimates built from the limited information you choose to enter and from averaged, publicly available statistics. They are possibilities, not predictions, guarantees, or advice, and actual results will differ, potentially significantly.

Representative assumptions currently used include: roughly a 6% average annual nominal return before retirement and roughly 4% during drawdown; a retirement income need of about 75% of pre-retirement income; average Social Security income of about $22,884 per year; a life-insurance need of about 10 times annual income; and representative average costs such as about $108,000 for four years of in-state public college. These are simplifications. They do not account for taxes, inflation variability, market volatility, fees, changes in law, or your specific circumstances. Consult a licensed professional before acting on anything the App shows you.

4. Data Minimization: What We Keep and What We Do Not

BlackCase keeps only what it needs to schedule your meeting and to generate a brief financial summary for that meeting. That summary is a handful of figures you chose to provide, such as your approximate age, an approximate savings figure, an income range, and the priorities you selected.

We do not collect or retain your date of birth. We do not retain account numbers, statements, medical records, or other sensitive financial records. BlackCase is a scheduler that holds a brief summary for the purpose of your meeting; it is not a financial records system, and you should never treat it as the place your financial records live.

To be precise: a minimal financial summary IS retained so your meeting is useful, and you can delete it. We do not claim "no records are kept"; we claim, accurately, that only that minimal summary is kept.

5. AI Processing by Base44, and Your Consent

BlackCase is built on Base44, an application platform. Base44's AI infrastructure (including its integrations with the AI model provider Anthropic) is what processes and manages the limited records and summaries described above in order to facilitate scheduling, generate meeting summaries, and power the App's assistant features. The AI is the manager and processor of these records on your behalf. It is not a party that markets or sells your data, and neither are we.

By using the App you consent to this processing of the information you provide by Base44's AI infrastructure for the purposes described here. Inputs submitted to the AI provider are used to generate your response, not to train or improve AI models. AI-generated content can contain errors; it is not financial, legal, tax, or investment advice, and you should confirm anything important with a licensed professional.

6. We Do Not Sell Your Data

BlackCase does not sell user data to third parties. Period. Your information is used to run the simulation you asked for, to prepare your meeting summary, and to connect you with the professional you chose. When you book a meeting with a professional through the App, the summary you built is shared with that professional so the meeting is useful; that sharing happens at your direction and is the point of the product, not a sale.

7. Data Protection Practices

We take the privacy of financial information seriously and apply strong safeguards: access controls and row-level security on stored records, encrypted transport, minimal retention as described in Section 4, and deletion on request. As a best practice we apply HIPAA-aligned administrative and technical safeguards to the limited data we hold. BlackCase is a financial marketing application, not a healthcare provider or health plan, and we do not assert that BlackCase is a HIPAA covered entity. The privacy regimes that actually govern the App include the privacy of the financial information you provide, your consent to AI processing (Section 5), and telephone-consumer protections for text messages (Section 8).

8. Text Messages and TCPA Opt-Out

If you opt in to text notifications, we send transactional messages such as booking alerts, meeting reminders, and account updates. We do not send marketing texts. Consent to texts is not a condition of using the App. You can opt out at any time by replying STOP to any message or by turning texts off in Settings, and message and data rates may apply.

9. User Accounts and Deletion

You are responsible for keeping your login credentials confidential and for activity under your account. You agree to provide accurate information. You may delete your account at any time from the App (Settings, or the Data Deletion page at /delete-account); deletion removes your account and the minimal summary described in Section 4, subject to records we are legally required to keep. We may suspend or terminate accounts that violate these Terms.

10. Purchases, Tokens, and Billing (Professionals)

The App and its tools are free for clients. Licensed professionals may purchase meeting tokens (one token corresponds to one introductory client meeting; a free token is granted monthly) as one-time bundle purchases, and BlackCase AI credits that pay for AI-performed actions. These are one-time purchases, not subscriptions, unless a purchase flow clearly states otherwise. Payments are processed by Stripe; Apple In-App Purchase terms govern purchases made through the iOS app. Meeting-token usage speed is not a guarantee of meeting volume, and client interest varies.

11. No Guarantee of Outcomes

BlackCase makes no representations or guarantees about financial outcomes, meeting outcomes, or business results from using the App. Estimates are estimates. Introductions are introductions. What you and your chosen professional do with them is between you.

12. Intellectual Property

The App, including its design, features, simulation, and content, is the proprietary technology of Blackcase Marketing LLC (Patent Pending, U.S. Provisional Patent Application Filed 2026) and is protected by copyright and other intellectual-property laws. You may not copy, modify, or distribute any part of the App without written permission.

13. User Conduct

You agree not to: (a) use the App for unlawful purposes; (b) attempt unauthorized access to any part of the App; (c) transmit malicious code; (d) impersonate another person; (e) use the App to send spam or unsolicited communications; (f) reverse engineer the App. Professionals represent that they hold all licenses applicable to their practice.

14. Limitation of Liability

Blackcase Marketing LLC is not liable for any indirect, incidental, special, consequential, or punitive damages arising from: (a) use of or inability to use the App; (b) decisions made based on information in the App; (c) errors in user-provided data; (d) market, tax, or regulatory changes; (e) the accuracy of any estimate or summary; or (f) the advice or actions of any independent professional. Our total liability for any claim is limited to the fees you paid us in the twelve months before the claim arose.

15. Indemnification

You agree to indemnify and hold harmless Blackcase Marketing LLC and its officers, directors, employees, and agents from claims, damages, and expenses (including reasonable attorney's fees) arising from your use of the App, your violation of these Terms, any services you provide to clients through introductions made by the App, or your violation of third-party rights.

16. Dispute Resolution: Binding Arbitration

Any dispute arising out of or relating to these Terms shall be determined by binding arbitration in Bexar County, Texas, before one arbitrator, administered by JAMS under its Comprehensive Arbitration Rules. Judgment on the award may be entered in any court with jurisdiction. Proceedings are individual only, not class, consolidated, or representative.

17. Privacy, Governing Law, Changes, Contact

Your use of the App is also governed by our Privacy Policy at /PrivacyPolicy. These Terms are governed by Texas law, with venue in Bexar County for anything not subject to arbitration. We may update these Terms; material changes are posted here with a new "Last updated" date, and continued use is acceptance.
